As per current company laws, it is allowed to add or remove directors at any point of time, provided the number of directors allowed in a company is maintained. Appointment of a new director is done by the existing board of directors, and the same is to be intimated to the Registrar of companies (RoC), Ministry of Corporate Affairs within a given time frame.

Brief Process

            Process of Appointment/ Addition of Director

  • Step 1: Check for clause related to appointment of director in AoA of company before initiating the process.
  • Step 2: Upon confirmation of clause, the consent letter in Form DIR-2 is taken from proposed director.
  • Step 3: Next, the company needs to pass a board resolution for appointing a particular person as a director of the company.
  • Step 4: The same resolution is to be passed before members in General Meeting.
  • Step 5: Apply for DSC (Digital Signature Certificate).
  • Step 6: Apply for DIN (Director Identification Number) for proposed director, if not already available through Form DIR-3.
  • Step 7: Upon receipt of DIN and collection of relevant documents and required information, the following forms need to be submitted to Registrar of Companies (RoC), MCA: Form DIR-12, Form DIR-8, Form MGT-14 and Form MBP-1.
